Duba & Duba has acquired significant experience in representing both lenders and borrowers in both secured and unsecured commercial loan transactions. The firm routinely drafts and negotiates seller financing documents, credit arrangements, promissory notes, security and pledge agreements, mortgages and assignments of rents, corporate and personal guaranties, and subordination agreements. The firm also has represented both creditors and borrowers in default, forbearance, work-out, short-sale, deed-in-lieu transactions, and foreclosure circumstances. Concentrated review and documentation of each transaction on a case-by-case basis is essential for a person or entity extending credit to a business or other party so that the lender party remains in the most secure position possible. Our firm also has experience drafting and negotiating limited or joint and several personal guaranties; stock, asset, or insurance pledge agreements; Uniform Commercial Code financing statements; irrevocable letters of credit; inter-creditor agreements between multiple lenders to a single debtor; and subordination agreements between multiple creditors to a single debtor outlining priority of the payment in advance. We have assisted with forbearances and deed in lieu transactions. In addition, our firm has provided bank and financial institution representation and advice and counsel to multi-lender and investor consortiums, including loan workout scenarios.
