Business Entity Formation and Counsel

We have experience with a wide range of closely held business issues which include the formation of corporations, limited liability companies and partnerships; monitoring statutory compliance; conducting annual meetings and updating minute books; and drafting, negotiating, and closing shareholder agreements, buyouts, mergers, redemptions, and asset and stock sales. We also handle employment and collection issues, contract review, drafting, and negotiation, and business succession planning. We have experience with matters related to shareholder agreements and joint venture agreements. We also prepare, review, and negotiate employment agreements, independent contractor agreements, and noncompete and nondisclosure agreements.  Our client base includes a wide range of business clients ranging from single member limited liability companies to corporations with more than one hundred employees and multiple in and out of state office locations. We also represents clients in a wide variety of industries, such as the service (restaurants, bars, and retail), construction (builders, subcontractors, and tradesmen), real estate (developers, landlords, tenants, and investors), manufacturing (tool & die, packaged goods, and automotive), financial (banks, lenders, and borrowers) and medical (dental, optometry, physician, and pharmacy) industries.
